Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Solutions Intelligentes SmartGrants Sougou Inc. ("SmartGrants", "we", "us") governing your use of SmartGrants LeadFlow and any related websites, APIs and services (the "Platform"). By accessing or using the Platform you confirm you have read and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that entity.

2. Description of Services

SmartGrants LeadFlow is a multi-tenant SaaS platform that sources B2B contacts via Apollo, validates emails, generates personalized outreach with AI, and orchestrates send and follow-up through n8n workflows using your connected Google account. We may introduce, modify or discontinue features at any time, with reasonable notice for material changes.

3. Account Registration & Security

You must register with accurate, current information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us immediately at admin@smartgrants.io if you suspect any unauthorised access. We may suspend accounts that show signs of compromise or that violate these Terms.

4. Acceptable Use

You agree NOT to:

  • Send spam, unsolicited bulk email, or messages that violate CAN-SPAM, CASL, GDPR, or any applicable anti-spam law in the recipient's jurisdiction.
  • Target recipients who have opted out, are on suppression lists, or have not been lawfully sourced.
  • Use the Platform for harassment, fraud, phishing, malware distribution, or any unlawful purpose.
  • Send content that is misleading, infringing, defamatory or harmful.
  • Attempt to gain unauthorised access to the Platform, other tenants, or connected systems.
  • Reverse-engineer, decompile or extract source code, or resell access without our written consent.
  • Interfere with performance, stability or availability of the service for other tenants.
  • Exceed plan volume limits, abuse API rate limits, or circumvent technical controls.

You are solely responsible for the lawfulness of your outreach. SmartGrants is not the sender of record for emails sent via your connected Google account.

5. Subscriptions & Payment

Access is offered through Starter ($490/mo + $100 setup), Growth ($790/mo + $100 setup) and Scale ($1490/mo + $100 setup) plans, billed in advance. Starter and Growth include a 14-day free trial; only the one-time $100 setup fee is charged on day 1 to cover Anthropic, Apollo, n8n and Google provisioning. Subscription billing begins on day 15 unless you cancel. Fees are non-refundable except where required by law. We may adjust pricing with at least 30 days' notice.

6. Customer Data & Ownership

You retain full ownership of all data you upload, source, generate or send through the Platform ("Customer Data"). You grant SmartGrants a limited, non-exclusive licence to process Customer Data solely to operate and improve the Platform. We will not sell your data, train third-party AI models on it, or use it for advertising. On termination, you may export Customer Data for up to 30 days, after which we may delete it.

7. Third-Party Services

The Platform integrates Apollo (B2B data), Anthropic Claude (AI personalization), Google Gmail (send), n8n (workflows), Supabase (database) and Stripe (payments). Use of these services is also subject to their own terms. You authorise SmartGrants to act as your agent in interacting with these services using credentials you have provided.

8. Intellectual Property

All rights, title and interest in the Platform — software, design, documentation, branding, proprietary algorithms and the default LEAD 2.0 workflow — remain with SmartGrants. These Terms do not transfer any IP rights beyond the limited licence to use the service during your active subscription.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party. This does not apply to information already public, independently developed, or required to be disclosed by law.

10. Service Availability & Support

We target high uptime but do not guarantee uninterrupted access. Maintenance windows will be communicated in advance. Support is provided via email; enterprise customers on Scale receive priority SLA terms.

11. Limitation of Liability

To the maximum extent permitted by law, SmartGrants is not liable for indirect, incidental, special, consequential or punitive damages — including loss of revenue, data, deliverability or business opportunity — arising from your use of or inability to use the Platform. Our total aggregate liability shall not exceed the fees you have paid in the twelve months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless SmartGrants, its officers, employees and agents from any claims, damages or expenses arising out of your breach of these Terms, your misuse of the Platform, your violation of anti-spam or privacy law, or your violation of third-party rights.

13. Termination

Either party may terminate by 30 days' written notice. We may suspend or terminate immediately if you breach these Terms or engage in activity that threatens the Platform's security, integrity or sender reputation. Upon termination your access ceases and outstanding fees become immediately due.

14. Modifications

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved in the competent courts of Montreal, Canada.
